TERMS OF SERVICE AGREEMENT

These Terms and Conditions ("Agreement") constitute a legally binding contract between Fitbionics Technologies Pvt. Ltd. ("Company," "we," "us," or "our") and you ("User," "you," or "your"). By accessing, downloading, or using the MyRise application, website, and associated services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our services.

1. Service Description

MyRise is an AI-powered adaptive running coaching platform that provides personalized training plans, real-time audio coaching, performance tracking, and community engagement features. Our services are designed for runners of all levels who seek professional coaching guidance at an affordable price point.

The Company reserves the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes through the application or email.

2. User Eligibility

By using MyRise, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into this Agreement. If you are under 18, you must obtain verifiable parental or guardian consent before using our services.

You agree to provide accurate, complete, and current information during registration and to maintain the confidentiality of your account credentials. You are solely responsible for all activities that occur under your account.

3. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account information and password. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security.

You agree not to use the MyRise service for any unlawful, fraudulent, or harmful purposes. Prohibited activities include, but are not limited to:

• • Harassing, abusing, or threatening other users.
• • Attempting to gain unauthorized access to our systems or data.
• • Reverse engineering, decompiling, or disassembling the application.
• • Uploading malware, viruses, or harmful code.
• • Impersonating another person or entity.
• • Engaging in any form of fraud or deception.

4. Subscription and Payment

MyRise offers various subscription plans, including a core subscription at Rs 600/month, premium marathon programs, and event training plans. All prices are in Indian Rupees unless otherwise stated.

Billing: Subscriptions are billed on a recurring basis. You authorize the Company to charge your payment method on the date your subscription renews. Billing cycles are clearly communicated during the purchase process.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial months or unused portions of your subscription.

Payment Disputes: If you dispute a charge, you must contact us within 30 days of the transaction. The Company will investigate and respond within 15 business days.

5. Intellectual Property Rights

All content, features, and functionality of the MyRise application—including but not limited to text, graphics, logos, images, audio, video, algorithms, and software—are owned by Fitbionics Technologies Pvt. Ltd. or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the MyRise service solely for your personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any content without explicit written permission from the Company.

Any feedback, suggestions, or improvements you provide to the Company may be used without compensation or attribution.

6. User-Generated Content

By posting, uploading, or submitting content to MyRise (including profile information, workout data, comments, and community posts), you grant the Company a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for service improvement, analytics, and marketing purposes.

You represent and warrant that any content you submit is original, accurate, and does not violate any third-party rights. You are solely responsible for the content you post and any consequences arising from it.

The Company reserves the right to remove any content that violates these Terms and Conditions or is deemed inappropriate, illegal, or harmful.

7. Health and Safety Disclaimer

MyRise provides coaching recommendations based on your input data. However, these recommendations are not a substitute for professional medical advice, diagnosis, or treatment. Before starting any new training program, especially if you have pre-existing health conditions, you should consult with a qualified healthcare professional.

You assume all risks associated with your use of MyRise and any training activities undertaken based on our recommendations. The Company is not responsible for any injuries, illnesses, or adverse effects resulting from your use of the service.

You agree to use the service at your own risk and to follow all safety guidelines and instructions provided.

8. Limitation of Liability

To the fullest extent permitted by law, Fitbionics Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the MyRise service, even if the Company has been advised of the possibility of such damages.

The Company's total liability to you for any claim arising from or relating to this Agreement shall not exceed the amount you paid for the service in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so this limitation may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fitbionics Technologies Pvt. Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms and Conditions, or your infringement of any third-party rights.

10. Third-Party Services and Links

MyRise may integrate with or link to third-party services, including payment gateways, fitness trackers, and social platforms. The Company is not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

The Company does not endorse any third-party services and is not liable for any damages or losses resulting from your use of them.

11. Data and Privacy

Your use of MyRise is also governed by our Privacy Policy, which outlines how we collect, process, and protect your personal data in compliance with the Digital Personal Data Protection (DPDP) Act, 2023.

By using our service, you consent to the collection and processing of your data as described in the Privacy Policy.

12. Termination

The Company may terminate or suspend your account and access to MyRise at any time, with or without cause and without notice, if you violate these Terms and Conditions or engage in conduct that the Company deems harmful or inappropriate.

Upon termination, your right to use the service immediately ceases. You remain liable for any outstanding fees or charges incurred before termination.

Sections that by their nature should survive termination (including Intellectual Property Rights, Limitation of Liability, and Indemnification) shall remain in effect.

13. Modifications to Terms

The Company reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website or application. Your continued use of MyRise after such modifications constitutes your acceptance of the updated terms.

We will notify you of significant changes via email or through the application.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in India for the resolution of any disputes arising from this Agreement.

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good faith negotiation with the Company. If negotiation fails, you may pursue arbitration or litigation as permitted by law.

15. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Fitbionics Technologies Pvt. Ltd. regarding the use of MyRise and supersede all prior negotiations, representations, and agreements, whether written or oral.
